Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (“User,” “you,” “your”) and Nxtel Capital LLC, a limited liability company organized under the laws of the State of New York, United States (“Company,” “we,” “us,” “our”), governing your access to and use of the NXTL eSIM services, website, and related offerings (collectively, the “Services”).

By accessing the website, creating an account, purchasing an eSIM or balance top-up, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not use the Services.

2. Service Description and Balance Top-Up

NXTL eSIM provides global mobile data connectivity via embedded SIM (eSIM) technology. The Services are data-oriented: the eSIM and associated balance are intended for mobile data usage in supported countries and on supported networks.

The eSIM profile is provided as part of a purchase. A purchase of $11.99 USD (or equivalent) constitutes an initial balance top-up; the majority of this amount is credited to your account as usable balance for pay-as-you-go data consumption. No physical SIM card is shipped; activation is digital only.

Your account balance does not expire. You may use it for data services in accordance with then-current pricing and coverage. Top-ups may be added at any time. We reserve the right to modify coverage, pricing, and eligible use in accordance with Section 9.

3. No Refund Policy

All purchases of eSIM activation and balance top-ups are final and non-refundable. Once an eSIM has been provisioned or balance has been credited to your account, we do not issue refunds, reversals, or credits except as required by applicable law.

You are responsible for ensuring that your device supports eSIM and is compatible with our service before purchase. In the event of connectivity or technical issues, we will provide reasonable support to troubleshoot; such support does not create any obligation to refund.

For refund requests based on mandatory consumer rights in your jurisdiction, contact [email protected] with your order details and the legal basis for your request.

4. User Responsibilities

You agree to use the Services only in compliance with this Agreement and all applicable laws and regulations. You undertake to:

  • Use the eSIM and data services lawfully and ethically;
  • Not engage in fraud, abuse, spam, or any activity that could harm the network, other users, or third parties;
  • Provide accurate and complete information when required, including for Know Your Customer (KYC) or identity verification where we are obligated to collect it;
  • Not resell, redistribute, or commercially exploit the Services without our prior written consent.

We reserve the right to suspend or terminate your account and access to the Services if we reasonably believe you have breached these obligations or applicable law.

5. KYC Policy and Data Storage

Know Your Customer (KYC) Requirements

Where required by applicable telecommunications or financial regulations, we may request identity verification (“KYC”). Such requirements may include submission of a government-issued identity document (e.g., passport, driver’s license, national ID), proof of address, and/or a selfie or similar verification. Failure to provide requested information may result in restricted access to certain services or refusal of service.

Data Protection and Storage

KYC and other personal data are processed and stored in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where relevant for EU data subjects, and the California Consumer Privacy Act (CCPA) where relevant for California residents. We do not sell or share your KYC data with third parties for marketing purposes. Disclosure may occur only where necessary to provide the Services, comply with law, or enforce our rights.

6. Privacy Policy

Our collection, use, and protection of personal data are described in our Privacy Policy, which is incorporated by reference. By using the Services, you consent to the practices described therein. In summary:

We may collect personal identification and contact information (e.g., name, email, phone number), payment-related data (processed by third-party payment providers), device and technical information (e.g., IP address, browser type, device model), and usage data (e.g., pages visited, interactions with the site and services).

How We Use Your Data

We use data to process orders, provide customer support, prevent fraud, improve security, and enhance the performance and experience of our website and services. We may use aggregated or anonymized data for analytics and product improvement.

How We Protect Your Data

We use industry-standard measures including SSL/TLS encryption for data in transit. Payment card data is processed by PCI-DSS compliant third parties (e.g., Stripe). We do not store full card numbers on our servers.

7. Fair Use Policy

The Services are intended for individual, personal or business use within normal consumption patterns. We reserve the right to monitor usage and to limit, throttle, or suspend service where we reasonably detect:

  • Excessive or disproportionate data consumption inconsistent with typical use;
  • Unauthorized sharing, resale, or commercial exploitation of the eSIM or balance;
  • Use that violates telecommunications regulations or our acceptable use standards.

We will use reasonable efforts to provide notice where practicable before imposing restrictions, except where immediate action is required by law or to protect the network or other users.

8. Liability and Limitations

To the maximum extent permitted by applicable law:

  • We are not liable for device incompatibility, user misconfiguration, or any failure to verify eSIM compatibility before purchase;
  • We are not liable for service interruptions, outages, or quality issues caused by third-party network operators, local regulations, or force majeure;
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Our total aggregate liability arising out of or related to this Agreement or the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

9. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also change pricing, coverage, and these Terms. Continued use of the Services after changes constitutes acceptance of the revised terms. If you do not agree to changes, you must stop using the Services and may contact us regarding closure of your account.

10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of New York, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement or the Services shall be resolved by binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction. You waive any right to participate in a class action. Nothing in this section limits our right to seek injunctive or other equitable relief in any court of competent jurisdiction.
